Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Tokmeter platform and related websites (the "Services"). By creating an account or using the Services, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.
1. Accounts
You must provide accurate information and keep your credentials secure. You are responsible for all activity under your account. Notify us promptly of any unauthorized use.
2. Subscriptions and billing
Paid plans renew on the cadence shown at checkout. Upgrades take effect immediately and are prorated; downgrades and cancellations take effect at the end of the current billing period. Fees are non-refundable except where required by law. Taxes are your responsibility.
3. Acceptable use
- No reverse engineering, scraping at scale, or circumvention of access controls.
- No use that violates applicable law, infringes intellectual property, or abuses third parties.
- No uploading of regulated data (e.g., PHI, payment card data) unless we have agreed in writing.
- No interference with security, integrity, or performance of the Services.
4. Customer data and provider credentials
You retain ownership of data you submit ("Customer Data"). You grant Tokmeter a limited license to host, process, transmit, and display Customer Data solely to provide the Services. Provider admin keys are encrypted at rest and only decrypted server-side when needed to perform the actions you initiated.
5. Third-party AI providers
The Services integrate with third-party AI providers (e.g., OpenAI, Anthropic, Google, Microsoft, AWS). Your use of those providers is subject to their terms. Tokmeter is not responsible for provider outages, billing, content moderation outcomes, or model behavior.
6. Confidentiality
Each party will protect the other party's confidential information with at least the same care it uses for its own, and only disclose it to employees and contractors with a need to know.
7. Intellectual property
The Services, including all software, content, and trademarks, are owned by Tokmeter or its licensors. We grant you a non-exclusive, non-transferable right to access and use the Services in accordance with these Terms and your subscription.
8. Feedback
You grant Tokmeter a perpetual, royalty-free license to use feedback you provide to improve the Services, without obligation.
9. Warranties and disclaimers
The Services are provided "as is" and "as available." To the maximum extent permitted by law, Tokmeter disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free, or that AI-generated outputs are accurate.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Each party's aggregate liability arising out of or relating to these Terms will not exceed the fees you paid to Tokmeter in the 12 months before the event giving rise to the claim.
11. Indemnification
You will defend and indemnify Tokmeter against claims arising from your Customer Data, your use of the Services in violation of these Terms, or your violation of law.
12. Term and termination
These Terms apply for the duration of your account. We may suspend or terminate access for material breach, non-payment, or risk to the Services. On termination, your right to use the Services ends and you may export Customer Data for a limited period.
13. Changes
We may modify these Terms. Material changes will be posted with a revised "Last updated" date and, where required, advance notice. Continued use after the effective date constitutes acceptance.
14. Governing law and disputes
Unless your order form states otherwise, these Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction, except where mandatory consumer-protection laws require otherwise (including for EU, UK, and Canadian consumers, who retain the rights of their local courts).
